These Terms and Conditions ("Terms") govern the use of services provided by NXT GEN NATIONWIDE, LLC. ("we," "us," "NXT GEN," or "our"). By accessing or using our services, including requesting a quote, purchasing equipment, or subscribing to communication services, you agree to abide by these Terms. If you do not agree to any part of these Terms, you may not use our services.
1. Our Role and Our Network Partners
1.1. Authorized Dealer
NXT GEN NATIONWIDE is an authorized dealer of Push-to-Talk Over Cellular (PoC) radio equipment and subscription services. We assist you in selecting, configuring, and deploying these products and remain available as a point of contact.
1.2. Fulfillment and Billing
Orders are fulfilled and billed by our network partners. Equipment is supplied and billed by Endless Communications, LLC. Monthly airtime and subscription services are billed by Onsite Communications. You may see either or both names on your billing statements.
1.3. Allocation of Responsibility
Our network partners are responsible for devices, programming, provisioning, maintenance, and all billing. Liability and responsibility concerning billing, equipment defects, and service delivery fall under their purview. Your purchase and subscription may be subject to a separate service agreement with those partners, and where their agreement conflicts with these Terms on matters of billing, warranty, or service delivery, their agreement controls.
2. Products and Services
2.1. Equipment Purchase
We offer PoC radio equipment, including portable radios, vehicle-mounted mobile radios, dispatch desktop configurations, and accessories. By purchasing equipment, you agree to use it in accordance with manufacturer guidelines and applicable laws.
2.2. Subscription Services
We offer subscription services for PoC radios and applications, including communication plans, mobile and web application access, GPS tracking, and related software features. Subscriptions are subject to the specific terms outlined in your service agreement.
3. Quotes and Pricing
3.1. Quotes Are Estimates
Any quote generated on our website or provided by us is a good-faith estimate based on the configuration you selected. It is not a binding offer. Final pricing is confirmed before an order is placed and may change based on your specific requirements, quantity, configuration, or changes in supplier pricing.
3.2. Taxes and Additional Charges
Prices shown on our website do not include applicable sales taxes, regulatory fees, carrier surcharges, or shipping. These are calculated and added at the time of purchase.
4. Payment and Billing
4.1. Payment Timing
Equipment and one-time license setup fees are due in full at the time of purchase and are not financed or billed over time. Monthly airtime is billed each month, per unit, for as long as the unit remains in service.
4.2. Billing Information
You must provide accurate billing information and maintain updated payment methods to avoid service interruptions. Billing disputes should be raised with the billing party identified on your invoice. We are available to help direct you to the right contact.
4.3. Late Payment and Suspension
Service may be suspended or terminated for non-payment in accordance with your service agreement. Suspension may interrupt communication and GPS features on all affected devices.
5. Service Limitations and Emergency Use
5.1. Not a Substitute for 911
Our products are not a replacement for 911 emergency services, public safety land mobile radio systems, or any other emergency communication system. The emergency alert and panic button features send notifications to contacts within your own organization's account. They do not contact a public safety answering point, dispatch emergency responders, or connect to any 911 system. You must maintain independent access to 911 and to any emergency communication system your operations require.
5.2. Dependence on Cellular Networks
Our products operate over commercial cellular networks that we do not own or control. Service availability, coverage, and performance depend on those networks and on factors including geography, building construction, network congestion, carrier maintenance, weather, and power and network outages. Coverage is not guaranteed at any specific location, and service may be unavailable or degraded at times.
5.3. GPS Accuracy
GPS location data is provided on a best-effort basis. Accuracy varies with satellite visibility, environment, and device conditions, and location data may be delayed, imprecise, or unavailable. Location information should not be relied on as the sole basis for a safety-critical decision.
6. Use of Services
6.1. Acceptable Use
You agree to use our services and equipment in compliance with all applicable laws, regulations, and industry standards. Prohibited activities include misuse of communication services, unauthorized modification of equipment, interference with networks, and infringement of intellectual property rights.
6.2. Recording and Consent
Our products include voice recording and call replay features. Recording laws vary by state, and some states, including Illinois, require the consent of all parties to a recorded conversation. You are solely responsible for determining what notice and consent your use requires and for obtaining it. We do not provide legal advice on recording laws.
6.3. Location Tracking and Personnel
If you deploy GPS-enabled devices to employees or contractors, you are responsible for compliance with all applicable laws governing workplace monitoring, employee notice and consent, and any collective bargaining obligations. You control the data your deployment generates.
6.4. Software Usage
Software provided as part of our services is licensed, not sold, and is subject to specific license agreements or terms of use. Accounts and credentials must be kept secure, and you are responsible for activity conducted under your account.
7. Eligibility and Account Registration
7.1. Eligibility
You must be at least 18 years old and have the legal capacity to enter into agreements to use our services and purchase products. If you are entering into these Terms on behalf of an organization, you represent that you are authorized to do so.
7.2. Account Creation
Some services require an account. You agree to provide accurate and complete information during registration and to keep your account credentials secure.
8. Intellectual Property
8.1. Ownership
We retain ownership of all intellectual property rights related to our services, marketing materials, and website content, including trademarks, copyrights, and proprietary information. Equipment and platform software remain the property of their respective manufacturers and licensors.
8.2. License Grant
By purchasing equipment or subscribing to our services, you receive a limited, non-exclusive, non-transferable license to use the products and services for their intended purposes.
9. Warranty and Returns
9.1. Equipment Warranty
Equipment may be covered by manufacturer warranties. Refer to the warranty terms provided with the product. Warranty claims, repairs, and replacements are handled by our network partners.
9.2. Returns
Return eligibility, timeframes, and any restocking fees are set by our network partners and described in your purchase documentation. Contact us and we will direct you to the correct process.
10. Limitation of Liability
10.1. Disclaimer
We provide our products and services "as-is" and "as available" and do not guarantee uninterrupted or error-free operation. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose.
10.2. Exclusion of Damages
We are not liable for any indirect, incidental, consequential, special, or punitive damages arising from the use of or inability to use our products or services, including lost profits, lost data, service interruption, failure of an emergency alert to be delivered, or inaccurate or unavailable location data.
10.3. Cap on Liability
To the fullest extent permitted by law, our total aggregate liability arising out of or relating to these Terms or our products and services will not exceed the amounts you paid to us in the twelve months preceding the event giving rise to the claim.
11. Indemnification
You agree to indemnify and hold harmless NXT GEN NATIONWIDE, LLC and its officers and agents from any claims, damages, or expenses arising from your use of the products or services, your violation of these Terms, or your failure to comply with laws governing recording, workplace monitoring, or employee notice.
12. Termination
12.1. Termination of Services
The end user of any subscription service must give 30 days written notice to terminate service. Failure to provide such notice may result in a termination fee. All outstanding balances for services, equipment, or subscriptions must be settled before terminating. Failure to abide by this policy or having outstanding amounts owed may result in the account being turned over to collections.
12.2. Effect of Termination
On termination, communication and GPS features cease. Retention of and access to historical location data and recordings after termination is governed by your service agreement with our network partners. Export any records you need before terminating.
13. Changes to Terms
We may update or modify these Terms at any time. Continued use of our services or products after such changes constitutes acceptance of the modified Terms. The effective date at the top of this page reflects the most recent revision.
14. Governing Law and Disputes
14.1. Jurisdiction
These Terms are governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict of laws principles.
14.2. Venue
Any dispute arising out of or relating to these Terms will be brought exclusively in the state or federal courts located in DuPage County, Illinois, and you consent to the jurisdiction of those courts. We encourage you to contact us first so we can attempt to resolve the matter directly.
15. Severability
If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
